TERM SHEET FOR WORK WIZARD’S THE HUB SERVICES FOR GP CLINICS

SERVICES PROVIDED

1. Facilitating digital referrals between General Practitioners (GPs), Specialists, and Allied Healthcare Workers through the platform “The Hub.”
2. Ensuring seamless integration and communication between different healthcare providers to streamline patient referrals and care coordination.

TERM

1. The term of this Term Sheet is effective from August 18, 2024 for a duration of twelve months.
2. Either Party may terminate this Term Sheet with 30 days’ written notice.
3. Client receives $5 per successful digital medical report sent via The Hub.
4. There will be no platform fees charged by the Service Provider until September 30, 2024.
5. From October 1, 2024, a platform fee of $38 per month applies after the first 10 digital medical reports sent, from the 11^th referral onwards, to the Service Provider.

CONFIDENTIALITY

1. Each Party acknowledge all operational information is confidential.
2. Patient records and personal information will not be used or copies without the Client’s consent.
3. Confidentiality obligations survive indefinitely post-termination.

INTELLECTUAL PROPERTY

1. Foreground IP developed under this Term Sheet belongs to the Service Provider, with a non-exclusive limited-use licence for the Client.
2. Each party retains rights to their pre-existing Background IP.

NON-CIRCUMVENTION

1. The Client agrees not to engage directly with any healthcare professionals introduced by the Service Provider without written permission from the Service Provider.

COMPLIANCE

1. The Service Provider will comply with all anti-corruption and anti-bribery laws.
2. Any breach of this section allows for immediate termination by the Client.

INDEMNIFICATION

1. The Service Provider will indemnify the Client against any claims arising from its performance of the Services.

GOVERNING LAW

1. This Agreement will be governed by and construed in accordance with the laws of Singapore.
